Changes – general partnerships or limited partnerships

Whenever your company's details change, you must inform the Trade Register about it by filing a notification of the changes.

The Trade Register is a register for public use. Anyone is entitled to obtain information about the entries made in the register. This principle of open access also applies to all notifications and enclosures filed with the Trade Register.

Take special care of personal identity codes and home addresses

When you send notifications, do not include any documents that contain personal identity codes, home addresses, or other sensitive details, such as health details. Such documents may include minutes and partnership agreements.

If you file your notification using our paper forms, file the person’s identification details on a separate personal data form. Do not fill in personal identity codes or home addresses on any other notification forms.

What changes must I notify to the Trade Register?

We recommend that you check your current Trade Register details in our Virre Information Service before you file a notification of changes, in order to see what changes and additions you have to make. How to file a notification online

You can file most notifications in our online service at ytj.fi. If you file your notification online, you also pay the handling fee online.

Please note that the online service is only available in Finnish and in Swedish.

To use the online service, you need to have a Finnish personal identity code and either personal internet banking codes, a mobile certificate, or an electronic identity card (HST card).

Save the scanned enclosures on your computer in advance to attach them to your notification.

How to file a notification using paper forms

Fill in the form Y5. Use a specific Personal Data Form for submitting identification data of persons. Do not fill in personal identity codes or home addresses on any other notification forms. Read more about personal identity codes and home addresses.

In general partnerships , the form must be signed by a partner, or by someone a partner authorises.

In limited partnerships, the form must be signed by a general partner, or by someone a general partner authorises.

If an authorised person signs the notification, the original general power of attorney or a certified copy of a special power of attorney must be enclosed.

If you file your notification on paper, you must pay the handling fee in advance and enclose the receipt for the handling fee.

Send the forms and enclosures to the address given on the form.

What documents need to be enclosed?

Changes to a partnership agreement

Submit the following enclosures:

  • Original agreement amending the partnership agreement.

    If you file your notification online, attach a scanned agreement to your notification.

    Both the partnership agreement and any agreements amending the partnership agreement must be signed by all partners, including silent partners. In some cases, a valid partnership agreement may include rules for a facilitated procedure for amending it.
  • Any other necessary information about the changes, such as a certified copy of the contract of sale for the assignment of a partnership share, if the assigner is not signatory to the agreement amending the partnership agreement
  • Receipt for the handling fee, if you file your notification on paper.

Do not enclose any documents with your notification (such as minutes or partnership agreements) containing personal identity codes or addresses of persons. Read more about personal identity codes and home addresses.

Other changes or a new auxiliary company name

Submit the following enclosures:

  • Receipt for the handling fee, if you file your notification using paper forms.
  • For example, copy of the minutes of the general partners’ meeting (grant of procuration rights, or adopting an auxiliary company name, if such matters are not included in the partnership agreement). Please note: If the partners sign the form, no enclosure is needed.

Do not enclose any documents with your notification (such as minutes or partnership agreements) containing personal identity codes or addresses of persons. Read more about personal identity codes and home addresses.

What does it cost to file a notification?

Changes to a partnership agreement: 140 euros.

Notification of holders of procuration or managing director is 50 euros per matter.

Change of company name: 70 euros.

The fee is 70 euros for each parallel company name that is notified to the register.

The fee is 70 euros for each auxiliary company name that is notified to the register.

Other changes: 50 euros.

Please note that the method of payment is different for online filing at ytj.fi and for filing on paper.

You pay the handling fee for online filing through the online service.

Partnerships Act changed 1 January 2016

From the beginning of 2016, the decision to change the partnership agreement cannot be put into effect before registration. However, if a decision to change the partnership agreement has been made before 2016, then a transitional provision applies.

Model text for agreement amending partner agreement

Please note : Although the model is in English, a partnership agreement filed with the Trade Register must always be in Finnish or in Swedish.

The model is for a case where one of the partners resigns from the business.

Change in partnership agreement

By this agreement, the silent partner Richard Romeo Register resigns from the partnership. Consequently, we – the remaining partners in Valley Vendace Ky – change item 4 of the partnership agreement signed on 31 December 1995 to read as follows:

4. The partners in the partnership are:
Patty Patent, general partner,
Raymond Register, general partner and
Austin Administration, silent partner with a contribution of €1,500

Instructions when filing a notification using paper forms

Write the following information on Form Y5:

  • The agreement amending the partnership agreement was signed on 1 December 2009.
  • The partners’ personal details

If the personal identity code (or date of birth) of any of the partners carrying on business in the partnership is missing from the Trade Register, please give the following information:

  • position: general or silent partner
  • partner’s whole name
  • date of birth
  • citizenship
  • amount of the contribution if a silent partner
