Registration of a foundation

A foundation will become legally competent as soon as it is registered in the Register of Foundations.

After getting permission for establishment, the foundation must be reported for entry in the Register of Foundations as soon as its bodies have been elected, they have held their first organising meetings, and the Board of Trustees has accepted the property endowed to the foundation.

In addition, the auditors of the foundation must have ascertained that the property has been conveyed to the foundation. If real property is endowed, the notification must include a copy of the deed of transfer, signed by the person who accepted the property on behalf of the foundation.

Forms

  • Form Y1 + Appendix Form 11. For forms, please go to the Business Information System (BIS) website at www.ytj.fi. Forms are also available from the NBPR; offices of the Tax Administration; Centres for Economic Development, Transport and the Environment; and Local Register Offices.
  • The form must be signed by either a member of the Board of Trustees or any person authorised by the member under a power of attorney; if a general power of attorney, please enclose the original; if another type of power of attorney, a certified copy will be sufficient.

Enclosures

  • Certified copies of the minutes of those body meetings at which the members, the persons with signatory rights and auditors were elected, and the authorisation to sign on behalf of the foundation was given
  • A certified copy of the deed of transfer, signed by the person who accepted the property on behalf of the foundation, if the deed of foundation orders that real property be endowed to the foundation
  • A list (no form) of the members of a Supervisory Board or Delegation, if the by-laws state that such bodies can be elected

Handling fee

  • The notification is free of charge.

Time limit

  • An established foundation must be reported for entry in the Register of Foundations within six months from the date of the permission for establishment – otherwise, the permission will lapse.
