Speed up the registration of your limited liability company
To ensure a smooth processing of your establishment notification you should try to avoid the most common mistakes. Check that you have the following points right in your notification.
Company name and parallel company name

Your company name reads exactly the same way on the establishment notification, the memorandum of association and the articles of association.

If you have a parallel company name, this is also stated in the articles of association.
Accounting period
-
Your accounting period is exactly the same on the forms and in the enclosures.

Your first accounting period does not exceed 18 months.

Your first accounting period and your regular accounting period end on the same date.
Share capital information

Your share capital sum is exactly the same on the notification form and in the memorandum of association.

There are no discrepancies between the entries concerning the share capital (e.g. number of shares or price per share).
Board of Directors
-
The entries concerning the Board of Directors on the notification form correspond with the provisions in the articles of association concerning the composition of the board.

You have elected a deputy member if there are less than three ordinary members.
Auditors
- All reported auditors are KHT or HTM auditors.
Representation rights
-
If you have entered a representation right on the notification, this right is stated in the articles of association.

You have specified whether the person is a procuration holder or a person authorised to represent your company.
Personal details
-
You have entered all necessary personal identification codes.
Memorandum of Association
-
You have submitted the original memorandum of association.

The memorandum of association is signed by all shareholders.
Proof of payment of share capital
-
You have enclosed a receipt of payment of the share capital, or an auditor's evidence of the fact.
