Notification on amendments – general partnerships and limited partnerships
Changes to partnership agreement, and other changes
We recommend that you check your current Trade Register details before you file an amendment notification in order to see what changes and additions you have to make. It is also useful to check the contents of your registered partnership agreement.
The following details are changed most often:
- company name
- municipality from which the partnership is managed (place of registered office)
- line of business
- partners, and silent partner’s contribution
- signatory rights according to the partnership agreement (general partners on their own/two generalpartners jointly, etc.)
- other changes to the partnership agreement (financial period, distribution of profits)
- address and contact details
- procuration rights
- auxiliary company name
Notification to Trade Register
Form
- Form Y5
- In general partnerships, the form must be signed by a partner, or by someone a partner authorises.
- In limited partnerships, the form must be signed by a general partner, or by someone a general partner authorises.
- If an authorised person signs the notification, the original general power of attorney or a certified copy of a special power of attorney must be enclosed.
Enclosures
Changes to a partnership agreement:
- Original agreement amending the partnership agreement. Both the partnership agreement and any agreements amending the partnership agreement must be signed by all partners, including silent partners. In some cases, a valid partnership agreement may include rules for a facilitated procedure for amending it.
- Any other necessary information about the changes, such as a certified copy of the contract of sale for the assignment of a partnership share, if the assigner is not signatory to the agreement amending the partnership agreement
- Receipt for handling fee
Other changes or a new auxiliary company name:
- For example, copy of the minutes of the general partners’ meeting (grant of procuration rights, or adopting an auxiliary company name, if such matters are not included in the partnership agreement). Please note: If the partners sign the form, no enclosure is needed.

Changes to a partnership agreement:
- 175 euros. The fee covers any matters which are notified of at the same time, such as procuration rights or their amendment. For the notification of an auxiliary company name you must always pay a separate fee. The handling fee must be paid in advance (See our payment instructions.)
Other changes:
- 85 euros. The handling fee must be paid in advance (See our payment instructions.).
A new auxiliary company name:
- 95 euros per name. The handling fee must be paid in advance (See our payment instructions.).
The above instructions apply to the most common occasions where changes are made.
Model text for agreement amending partner agreement
Please note: Although the model is in English, a partnership agreement filed with the Trade Register must always be in Finnish or in Swedish.
The model is for a case where one of the partners resigns from the business.
Change in partnership agreement
By this agreement, the silent partner Richard Romeo Register resigns from the partnership. Consequently, we – the remaining partners in Valley Vendace Ky – change item 4 of the partnership agreement signed on 31 December 1995 to read as follows:

Austin Administration, silent partner with a contribution of €1,500.

- The agreement amending the partnership agreement was signed on 1 December 2009.
- The partners’ personal details
If the personal identity code (or date of birth) of any of the partners carrying on in the partnership is missing from the Trade Register, please give the following information:
- position: general or silent partner
- partner’s whole name
- personal identity code (birth of date if no identity code is available)
- address and citizenship
- amount of the contribution if a silent partner
