Limited liability companies and co-operatives: Submit your financial statements and avoid de-registration

The Finnish Patent and Registration Office (PRH) will send reminder letters to limited liability companies and co-operatives that have not submitted their financial statements for registration within one year from the end of the financial period. Businesses that do not react to our reminder may risk removal from the Trade Register.

Even an active business that does not submit their financial statements may risk getting deregistered. The de-registration procedure is based on the Limited Liability Companies Act and the Co-operatives Act.

All limited liability companies and co-operatives must draw up financial statement documents for each financial period, even if they are not active. How to proceed if you got a reminder letter?

Fill in the enclosed form and attach your financial statement documents to it without delay. Filing of financial statements is free of charge. To keep an inactive business in the Trade Register, you must submit the balance sheet, signed and dated, for the financial period in question, and inform us that the business is inactive.

If you fail to react by the date given on the letter, your business may be removed from the Trade Register.

What happens after de-registration?

De-registration means that your business is now out of action. Only the representatives for a deregistered business can take measures necessary to repay debts or preserve the value of its assets. Read more about de-registration.

A business that has been removed from the Trade Register is dissolved through a tax procedure, which means that a current value is set on its assets and they are transferred. Normally, this will result in taxable income being generated for the business. A dissolution will normally cause tax consequences also to the shareholders.
