Companies removed from the Finnish Trade Register can apply to the PRH for re-entry

The Finnish Trade Register Act has been amended. Based on the amendment, which entered into force on 1 January 2025, a company removed from the Finnish Trade Register or ordered into liquidation in or after 2023 can apply for re-entry to the Finnish Trade Register or termination of the liquidation. The Finnish Patent and Registration Office (PRH) can accept the application if the company meets the requirements set out in the Act.

Requirements for re-entering the Finnish Trade Register

A company deregistered in or after 2023 can apply for re-entry to the Finnish Trade Register or termination of liquidation if it meets these requirements:

  1. The company remedies the negligence on which the deregistration or order of liquidation was based, for example, by submitting missing financial statements.
  2. The company corrects all the errors and deficiencies in the Trade Register details.
  3. The company has paid the statutory fees imposed by the PRH.
  4. The company is not dissolved, or its assets have not been distributed in the liquidation procedure.
  5. There are no other legislative obstacles to re-registering the company or terminating the liquidation, such as an obstacle to registering the company name.

The company must submit an application to the PRH and attach a notification of the completed and corrected Trade Register details to the application.

The application fee is 370 euros, and it must be paid in advance.

The amendment of the Act does not apply to the companies deregistered before 2023. These companies can apply for re-entry to the Finnish Trade Register just like before, and the re-entry requirements for them remain the same.

All Trade Register details must be kept up to date

One of the conditions for re-entry is that the company updates all its Trade Register details.

For example, the company’s responsible persons, such as board members, and address must be up to date. Limited liability companies and co-operatives must also have their financial statements registered in the Finnish Trade Register for the three most recent completed financial periods and submit their beneficial owner details and keep them up to date.

Check the company’s registered details by downloading a Trade Register extract free of charge in the PRH’s Virre Information Service. Search for the company’s details in Virre and select that you want to have the extract for a specific day. Enter a date preceding the removal as the start and end date. Annual notification to the Finnish Trade Register as of 2027

As a result of the amendment of the Finnish Trade Register Act, the obligation to review Trade Register details was postponed by a year.

From 2027, limited liability companies and co-operatives must annually review the details registered in the Finnish Trade Register. European companies, European co-operatives and foreign traders who have set up a branch in Finland are also required to review their details.
