Exemption under Section 35 of the Associations Act

According to Section 35(3) of the Associations Act, the chairperson of the Executive Committee must be a resident of Finland, unless the Finnish Patent and Registration Office (PRH) grants an exemption from this.

If the chairperson of the Executive Committee of the association indicated in the notice does not reside in Finland, the association has to apply for such an exemption from the PRH before the association’s basic notice or notice concerning amendments to the rules (bylaws) or changes in the signing rights can be entered in the Register of Associations.

You can apply for an exemption in advance using a separate application, or you can enclose the application with a simultaneously filed basic notice or notice concerning amendments to the rules or changes in the signing rights.

The exemption procedure also applies to the vice chairperson of the Executive Committee.

Application instructions

Request an exemption by a free-form application, written in either Finnish or Swedish, in which you give grounds for granting of the exemption. Submit your application to the PRH.

You apply for an exemption that is valid for the time being so that the chairperson and vice chairperson of the Executive Committee do not have be resident in Finland. However, we grant the exemption on the condition that at least one of the persons entitled to sign for the association is resident in Finland.

Give the following details in the application:

  • the name of the association
  • grounds for granting the exemption
  • the applicant's address and phone number. Note that the applicant must have the right to act on behalf of the association.
  • the application must be dated and signed by the applicant.

The application must be accompanied by

  • a receipt of the payment


The application fee is 100 euros, and you must pay it in advance to the account of the Register of Associations. See our payment instructions for handling fees.

The PRH will send the decision directly to the applicant if the exemption is requested using a separate application. If the application is filed together with a basic notice or a notice concerning amendments to the rules or changes in the signing rights, we will send the decision directly to the association.
