How to apply for liquidation of a deregistered limited liability company
The PRH orders a deregistered limited liability company into liquidation upon application if liquidation measures are needed after deregistration.
However, if the company does not have enough assets to cover the costs of liquidation, or there is no information on the assets, and no shareholder, creditor or other party undertakes to bear the liquidation costs, the PRH will not order the company into liquidation.

Who files the application?
A shareholder, creditor or any other party whose rights may depend on ordering the company into liquidation can file the application.
How to apply for an order of liquidation
File an application using our online or paper forms and give the following details:
- Why the company needs liquidation measures
- Name and position of the applicant(s)
- Report on the company’s assets to cover the liquidation costs or the name of the person liable for the liquidation costs
- Name and personal identity code of the liquidator and confirmation that the liquidator has consented to the assignment
You can apply for a public summons using the same application or apply for it separately. A public summons is required for liquidation. You must always apply for it, even if the company has no debts. Read more about a public summons.
Handling fee
The handling fee is 50 euros. Pay the handling fee in advance and enclose the receipt with your application. See our payment instructions.
If you use the same application to apply for a public summons, pay the handling fee for a public summons and attach the receipt with your application. The handling fee for a public summons is 180 euros.

How to file your application using online forms
To log in, you must have a Finnish personal identity code and one of the following: personal internet banking codes, a mobile certificate, or a certificate card.
Log in to the online form and fill in the required details. Pay the handling fee, attach the receipt, and send the application.
If you use the same application to apply for a public summons, pay the handling fee for a public summons and attach the receipt to your application.
Do not add any attachments other than payment receipts to your application, as they will not be considered. If other attachments are needed to handle the application, the PRH will ask for them.

Save the form on your computer before filling it in. Fill in, print out and sign the form.

Send the form, the receipt for the handling fee, and the handling fee for a public summons by post. The address is on the application form.
What happens after ordering a company into liquidation?
After the company has been ordered into liquidation, the liquidator follows the voluntary liquidation procedure. If you did not use the same application to apply for a public summons after the company has been ordered into liquidation, the liquidator will apply for a public summons.
Please note: you must always apply for a public summons, even if the company has no debts.
