Liquidation of limited liability companies - Notification of liquidation and liquidators with the Trade Register
Once the General Meeting has decided on the liquidation and the liquidators, the liquidators must without delay register the decision.
Liquidation begins once this decision has been made, unless the General Meeting designates a later date for starting the liquidation.
The liquidators can apply for a public summons to the creditors of the company already when they notify the PRH about the liquidation and liquidators.
Who can be a liquidator
At least one liquidator must be resident in the European Economic Area (EEA), unless the PRH grants an exemption from this requirement. See our instructions on permits to persons from outside the EEA.
The following persons cannot be liquidators:
- legal persons
- minors
- bankrupts
- persons who are subject to business prohibition
- persons under guardianship
- persons with restricted legal competency.
Who can file
The notification must be signed by a liquidator, or by someone authorised by that person. Procuration rights are not enough to sign a notification to the Finnish Trade Register.
If an authorised person signs the notification, enclose a certified copy of a special power of attorney or the original general power of attorney.
Fees
The notification of liquidation and liquidators costs 55 euros.
If you also apply for a public summons to the creditors, pay the application fee for a public summons.
The application fee is 200 euros.

Download and save the following forms to your computer and fill them in Finnish or Swedish:

- Minutes of the General Meeting that decided on the liquidation and the liquidators.
Do not attach any documents that contain personal identity codes, home addresses, or other sensitive information, such as health details.
How to file
File your notification using the online form 'Notification to the Finnish Trade Register'Avautuu uuteen välilehteen in Finnish or Swedish.
From 1 January 2026, it is not possible to file notifications on paper forms.
Pay the handling fee in advance.
Log in and select what your notification relates to.
Enter the requested details and add the forms and attachments.
