Limited liability companies – notification of changes of articles of association with the Trade Register
The general meeting decides on the amendment of the articles of association. The Finnish Trade Register must be notified about the amendment of the articles of association. File your notification online using our service at ytj.fi in Finnish and Swedish.
Please note that the new articles of association cannot be implemented before registration.

When to file
File the notification without delay.
If the amendment of the articles of association requires implementation measures to be entered in the register, the amendment must be notified for registration and registered simultaneously with the implementation measures. (Read more in chapter 5, section 30 of the Finnish Limited Liability Companies Act.)
Who can file
A member of the board of directors or the managing director signs the notification. Procuration rights are not enough to sign a notification to the Finnish Trade Register. Read more about how to sign online notifications at ytj.fi.Avautuu uuteen välilehteen

How to file
File your notification online at ytj.fi in Finnish or Swedish.
In the service, you will see the current articles of association in a text box. Update the details that have changed. If the text box is empty, write or add the entire articles of association in the box.
Please note that the articles of association are recorded in the Finnish Trade Register as shown in the text box.

What documents need to be enclosed
Attach the following documents to your notification:
- A copy or an extract of the minutes of the general meeting, certified by oneperson
- The changes you file for registration must be included in the decision of the general meeting.
- To register a partial amendment of articles of association, include in the minutes the new contents of the changed provisions.
- Evidence of consents if the amendment of the articles of association requires a consent from all the shareholders, and all the owners were not present at the general meeting
- The evidence can be a certificate signed by the managing director or a member of the board of directors that a written consent has also been obtained from shareholders that were not present at the general meeting.
- Alternatively, the written consents to the company must be attached to the notification.
- A map or some other image, if any, relating to the articles of association
- Ensure that the attachments are of good quality and A4 size. The attachment must be sent as a single file even if it consists of several pages.
- Allowed file formats are PDF, DOC and DOCX.
- Please note that the Finnish Trade Register’s information service always provides black and white A4 paper printouts. That is why you cannot use colours in the attachments to indicate for instance different areas on the map. You should indicate them in some other way instead.
Do not attach the following documents:
- Documents that contain personal identity codes or home addresses
- The articles of association as a file
Price
Amendment of the articles of association costs 280 euros. The handling fee for changing the articles of association covers changes concerning the place of registered office or line of business of the limited liability company, and changes to the representation of the company based on position in the company.
The fee does not cover changing the company name or filing a parallel company name. We charge a separate fee of 70 euros per name for them. We also charge 50 euros for a change of a financial period indicated in the articles of association.
If you add a provision about shares of different classes to the articles of association, we charge 280 euros for filing the shares of different classes.
