How to change a company’s registered office at the Finnish Trade Register
Companies can change their registered office by amending their articles of association, rules, or partnership agreement.

Private traders

General partnerships and limited partnerships
The partnership agreement specifies the municipality where the company is managed (where it has its registered office). If the municipality changes, file a change of partnership agreement. The municipality must be in Finland. Read more about changing the partnership agreement.
Limited liability companies
The articles of association must specify the company’s registered office, and it must be a municipality in Finland.
The registered office determines where the company’s general meeting must convene. It also determines where the competent court of law is.
The registered office does not have to be linked with the company’s activities; neither does the company’s address need to be in the same municipality as its registered office – although it normally is.

Co-operatives
Under the Finnish Co-operatives Act, the co-operative’s rules must specify the co-operative’s registered office. It must be a municipality in Finland.
The registered office does not have to be linked with the co-operative’s activities; neither does the co-operative’s address need to be in the same municipality as its registered office – although it normally is.

New registered office because of municipal merger
If a municipality ceases to exist because it has been merged with another municipality, the PRH updates the company’s registered office in the Finnish Trade Register automatically and free of charge. Provisions on this are laid down in chapter 7, section 34 of the Finnish Municipal Structure Act (1698/2009).
As soon as the PRH has made the change, you can see the new registered office in the company’s Trade Register information and in the company search at ytj.fi, which is jointly provided by the PRH and the Finnish Tax Administration. Please note that the new registered office will not be updated automatically in the company’s organisation rules. When companies next amend their articles of association or partnership agreement, they should update the registered office to reflect the municipal merger.
The name of a municipality that has ceased to exist may continue to be part of the company name.
