Notification of changes for limited liability companies to the Finnish Trade Register
If limited liability companies’ registered details change, they must file a notification of the changes with the Finnish Trade Register.
Why must I file?
The details contained in the Finnish Trade Register are used for checking the representatives and background of businesses. By submitting a notification, you ensure that the Finnish Trade Register is providing up-to-date information about your business.
Several decisions of limited liability companies do not come into force until they are registered.
Negligence fee for incomplete or incorrect details
The Finnish Patent and Registration Office (PRH) can impose a fee for negligence on companies that do not correct deficiencies or errors in their Trade Register details despite the PRH requesting corrections. Read more about the negligence fee.
Before filing
We recommend that you check your current Trade Register details in our Virre Information Service before you file a notification of changes, in order to see what changes and additions you have to make.
What do I file?
Please note that all the details filed with the notification of changes are registered simultaneously.
File the following with the Trade Register:
- Changes in the limited liability company (instructions in the menu by topic)
- Changes to address and contact details
- Beneficial owner details
- Financial statements
No notifications of changes have to be filed about shareholder changes
Please note that changes in shareholders are not submitted to the Finnish Trade Register. If the shareholders change, it often means that the board of directors or the managing director changes, and a notification of changes must be filed about it. Limited liability companies themselves are obliged to keep a shareholder register. The matter is regulated by chapter 3, section 15 of the Finnish Limited Liability Companies Act.
Fees
Most notifications to the Trade Register are subject to a fee.
You can file changes to address and contact details, notification of beneficial owners and financial statements (within 8 months after the end of the financial period) free of charge.
