Guided set-up package for limited liability companies in the online service at ytj.fi (documents are created by the service)
This page provides instructions concerning the guided set-up package for a limited liability company in the online service at ytj.fi. The service creates a memorandum of association and standard articles of association for the company.
Please note that the service is only available in Finnish and Swedish.
When to select the guided set-up package
Select the guided set-up package in the online service at ytj.fi in the following cases:
- There is no subscription price for the shares, and the share capital is 0 euros.
- All the shareholders are adults.
- All the shareholders, members of the board of directors, and the managing director, if any, have a Finnish personal identity code and one of the authentication methods provided by the Suomi.fi identification service, such as personal internet banking codes or a mobile certificate.
- All the auditors, holders of procuration rights and persons authorised to represent the company, if any, have a Finnish personal identity code.
- Standard articles of association are sufficient.
Otherwise, select the start-up notification for limited liability companies in the online service at ytj.fi (you will add drafted documents yourself).
Filing and signing of the notification
A member or a deputy member of the board of directors signs the start-up notification. If the company to be incorporated has holders of a procuration or persons entitled to represent the company, all board members must sign the notification in the online service.
All shareholders sign the memorandum of association in the online service.
All board members and the managing director, if any, sign in the online service a statement that confirms that the Finnish Limited Liability Companies Act has been complied with.
When to file
You must complete the process of the guided set-up package in the online service at ytj.fi within 60 days of starting the notification. Otherwise, both the notification and the incorporation will lapse, which means that no company will be formed.
Fees
The fee for the guided set-up package is 300 euros.
The fee for an auxiliary company name is 75 euros per auxiliary company name. Read more about auxiliary company names.
How to file
File your notification using our online service at ytj.fiAvautuu uuteen välilehteenin Finnish or Swedish. From 1 January 2026, it is not possible to file notifications on paper forms.
Log in. Select “
File the following details in the online service:
- Company name
- Line of business
- Financial period
- Place of registered office
- Auxiliary company names and their lines of business, if any.
- Names and Finnish personal identity codes of the following persons:
- Actual beneficial owners (persons who have ownership interest or control in the company).
- Members of the board of directors and the managing director, if any
- Auditor, if any: Please note that you can only file an authorised auditor and deputy auditor (HT auditor, KHT auditor).
- Holders of procuration and persons authorised to represent the company, if any.
An actual beneficial owner can also be a foreign person. In such a case, file this person’s date of birth and home address, and attach a passport copy or another proof of identity.
Please note the following: If any other person than an actual beneficial owner does not have a Finnish personal identity code, it is not possible to start a limited liability company using the guided package. Go to the front page of the online service at ytj.fi and select “
