Limited liability companies – notification of changes of board, managing director and other persons with the Trade Register
Limited liability companies must file all changes concerning their board of directors, managing director, substitute for the managing director, house manager, persons entitled to represent the company, auditors, and supervisory board with the Finnish Trade Register.
Who can file
A member of the board of directors or the managing director signs the notification. Procuration rights are not enough to sign a notification to the Finnish Trade Register. Read more about how to sign online notifications at ytj.fi.Avautuu uuteen välilehteen

Notification of terminated position
If your details have been recorded in the Finnish Trade Register and you have either resigned or your appointment has otherwise been terminated, you can file a notification of change concerning the matter yourself.
If an auditor resigns from their appointment in the middle of their term, the company or auditor must file a notification of the resignation with the Finnish Trade Register.

Fees
Notification of changes of the board of directors, holders of procuration, persons entitled to represent the company, auditors, and managing director costs 55 euros per matter.
Example: changing the board of directors and the managing director costs 110 euros.
Notification of termination of a registered appointment is free of charge.
What documents need to be attached?
When you file a notification in the online service at ytj.fi, you do not need to attach documentation of the decision to appoint the person (for example, the general meeting or board meeting minutes). However, the company must have the decision concerning the appointment if we need it for processing the notification.
If you file a person who does not have a Finnish personal identity code, enclose a copy of their passport or other identification document, certified by one person.

From 1 January 2026, it is not possible to file notifications on paper forms.
Log in and select what your notification relates to.
Fill in the required details and attach the documents. Sign and pay for the notification in the service.
When filing an auditor, please observe the following:
- You can only file an authorised auditor and deputy auditor (HT auditor, KHT auditor).
- If the auditor or the deputy auditor is an audit firm, you must file the details of the firm and the auditor with principal responsibility.

Changes filed in the online service at ytj.fi about persons in positions of responsibility can be registered automatically. Read more about automatic registration.

More information about supervisory board, procuration rights, permits for persons living outside the EEA and legislation
Under the Finnish Limited Liability Companies Act, the supervisory board is a voluntary organ. If a limited liability company wishes to appoint a supervisory board, the Articles of Association must contain provisions on the supervisory board.
Registering the holders of procuration is voluntary. However, if registered procuration rights have lapsed, the changes must be filed with the Finnish Trade Register. Read more about procuration rights in Finnish and in Swedish.
Persons living permanently outside the European Economic Area (EEA) need a permit from the Finnish Patent and Registration Office (PRH) to hold certain positions, such as board member or managing director.
