Re-entering removed companies to the Finnish Trade Register – instructions for companies removed before 2023

These instructions are intended for companies that the Finnish Patent and Registration Office (PRH) has removed from the Finnish Trade Register before 2023.

The PRH has removed the company from the Finnish Trade Register because it has not submitted the requested financial statement documents despite reminders to do so. See the steps of the deregistration process.

Our deregistration process follows the procedure set out in chapter 20, section 5 of the Finnish Limited Liability Companies Act or chapter 23, section 5 of the Finnish Co-operatives Act. Under these sections, the PRH may decide the matter even if it is not known that the company has received the requests or reminders.

How to ask for re-entry

You may ask your company to be re-entered in the Finnish Trade Register within five years from the company's deregistration.

In order to re-enter, your company must submit approved financial statements for the three most recent financial periods that have ended. Check which financial statement documents must be submitted.

Write a free-form request where you ask your company to be re-entered in the Finnish Trade Register. Provide the following information in the request: the name and Business ID of the company, and the applicant’s contact details. The request is signed by a person responsible for the company or by a representative this person has authorised. Enclose a power of attorney if an authorised person signs the request.

If the company’s registered board of directors has changed, the company must file the details of its competent board of directors with the Finnish Trade Register using a notification of changes on paper. Indicate in the Additional information section (“Lisätietoja PRH:lle / Tilläggsuppgifter till PRS”) on the form that the notification of changes relates to a pending request for re-entry.

Attach the financial statement documents and notification forms for each financial period to the request.

What does it cost?

Financial statements can be filed free of charge within eight months of the end of the financial period.
For financial statements filed late, we charge a handling fee of 100 euros for each financial period. We will send an invoice after the registration.

How to file the request with the PRH

Send the request, the forms for registering financial statements, the financial statement documents, and possible power of attorney all at once by email to valvonta@prh.fi. Attach the request and each financial statement document with notification forms as separate PDF documents to the message.
